One of a Kind: 1919 Seattle Shipyard Documents - A WWI-Era Shipyard\'s Last-Ditch Scramble for Capital, In Its Own Words

JV Paterson - Naval Architect - Stockholders

This collection documents the final months of the Norway-Pacific Construction & Drydock Company, a Norwegian-American shipbuilding venture on Port Gardner Bay in Everett, Washington. Built during World War I to construct government cutters, the company found itself scrambling for capital after the 1918 Armistice ended wartime demand - and this archive captures that scramble in real time, through April and May of 1919, roughly a year before the company collapsed into receivership.

The Central Figure

Most letters in the collection are addressed to or concerns J. V. Paterson, a prominent Seattle naval architect who had previously served as president of the Seattle Construction and Dry Dock Company and general manager of the Moran Company shipyard. Norway-Pacific\'s management courted him aggressively to take over \"absolute business direction\" of the company, restructure its Board of Trustees around him, and lend his name and credibility to a fresh capital campaign. One letter carries Paterson\'s own reply, in his voice, declining involvement and stating plainly that his assessment of the company\'s finances differed sharply from management\'s.

What the Letters Reveal

  • A detailed internal financial statement listing the company\'s real estate, shipyard machinery, and outstanding debts, including a large unpaid balance specifically on shipbuilding machinery purchases
  • A proposed slate of trustees drawn from Seattle banking, machinery, and Norwegian-consular circles, including a former Chase National Bank director and the vice-president of the Scandinavian-American Bank
  • A wide-ranging list of financing prospects the company was pursuing simultaneously — a Norwegian sea captain sent abroad with power of attorney to place a bond issue among Norway\'s shipowners, Duluth financial interests, a Buffalo, New York industrial family with major Niagara Falls power holdings, and an appeal to Norwegian-American community pride
  • A marine surveyor\'s candid written assessment, calling the company\'s own initial proposal to Paterson \"ridiculous\" and evidence of poor business judgment on management\'s part
  • Correspondence from a Seattle insurance broker enclosing a full financial prospectus and photographs of the shipyard plant, urging Paterson to consider taking control
  • A record of stock sales as of April 1919, showing subscriptions from both the United States and Norway against an authorized capitalization of $3,000,000
  • An attorney\'s letter confirming the legal authority of the company\'s Board of Trustees to borrow money and issue notes and bonds

A Story With a Documented Ending

The company\'s financial troubles proved fatal: within a year, a receiver was appointed and took possession of the Everett shipyard\'s assets. Machinery purchases discussed in this very collection later became the subject of litigation that reached the Washington State Supreme Court, which laid out the company\'s collapse and receivership in detail. Several signers of these letters — including the company\'s secretary, who later became its court-appointed receiver — are named participants in that reported case.

Letters carry period letterheads from the shipyard company, a Seattle law firm, a marine insurance broker, a marine surveyor affiliated with Det Norske Veritas and the Norwegian Shipping Commission, and Seattle National Bank, several with original hand signatures.
